What is a contract?

A contract is a legally binding agreement between two or more parties that creates enforceable rights and obligations.
For a contract to be valid under South African law, it must meet the essential elements of a contract and comply with any statutory formalities applicable to its type, such as those prescribed in the Alienation of Land Act 68 of 1981 or the National Credit Act 34 of 2005.

When is a contract valid?

  • Both parties must have the legal capacity to understand the contents of the agreement and to enter into it — this generally means being 18 years or older, having the necessary parental assistance if a minor, and being of a sound mental state.

  • Both parties should understand the legal consequences of the agreement, including the implications of a breach.

Each party must fully understand the contents of the contract, and no information may be presented in a misleading or mala fide manner.

  • The contract and its terms must be lawful and in accordance with the Constitution of the Republic of South Africa, 1996, and other applicable legislation.
